Service Policy & Client Agreement

By hiring WebDash ("we," "us") or subscribing to any of our plans, you ("the Client") agree to the following terms and conditions.

1. The Service Model ("Website as a Service")

WebDash operates on a subscription-based model. We design, build, host, and maintain your website for a monthly fee. This model allows us to provide high-performance, custom-coded websites without large upfront capital costs.

2. Intellectual Property & Code Ownership

It is vital that you understand the ownership structure of this service:

  • Client Content: You retain 100% ownership of the text, images, videos, and branding assets (logos) you provide to us.
  • WebDash Code: WebDash retains 100% ownership of the HTML, CSS, JavaScript source code, design files, and backend architecture used to power your website.
  • The License: As long as your monthly subscription is active, WebDash grants you a non-exclusive, non-transferable license to use this website for your business.
  • Effect of Cancellation: Upon cancellation of your subscription, this license expires. The website will be taken offline, and you are not entitled to a copy of the source code.

3. Payments & Subscription

  • Upfront Fees: Any setup or design fees must be paid before work commences.
  • Monthly Subscription: Your subscription fee covers hosting, SSL security, backups, and ongoing technical maintenance.
  • Late Payments: If an automatic payment fails, we will attempt to contact you. If the account remains unpaid for more than 14 days, we reserve the right to suspend your website (take it offline) until the balance is cleared.
  • Price Changes: We reserve the right to adjust pricing with 30 days' written notice.

4. "Fair Use" Updates Policy

Your subscription includes "Standard Updates" to keep your site fresh. To ensure fair access for all clients and prevent abuse, these updates are limited to 1 hour of developer time per month.

  • Included: Changing text, updating prices, swapping images, updating contact details, and minor layout adjustments.
  • Excluded (Billable): Creating completely new pages, adding complex functionality (e.g., adding an e-commerce store to a brochure site), complete design overhauls, or excessive requests exceeding the 1-hour cap. These will be quoted separately.

5. Client Responsibilities

  • Content: You are responsible for providing the text and images for your site. We are not responsible for copyright infringements caused by content you provide.
  • Third-Party Costs: You are responsible for the direct costs of your Domain Name (e.g., GoDaddy, Namecheap) and Business Email (e.g., Google Workspace), as these are legally registered to you.

6. Cancellation & Buyout

  • Notice Period: You may cancel your subscription at any time by providing 30 days' written notice via email to support@webdash.co.uk.
  • Termination: Upon the final date of your subscription, your website hosting will be terminated, and the site will be removed from the internet.
  • Buyout Option: If you wish to transfer your website to a different hosting provider and retain the custom code, you may purchase a permanent license for the source code for a one-time Buyout Fee of £999 (or the equivalent of 12 months of subscription fees, whichever is higher).

7. Portfolio Rights

We reserve the right to display your website in our portfolio and include a discreet "Designed by WebDash" link in the footer of your website.

8. Limitation of Liability

We strive for maximum uptime via our hosting partner (IONOS). However, WebDash is not liable for any lost profits, business interruption, or data loss resulting from server outages, cyber-attacks, or software errors. Our total liability is limited to the fees you have paid to us in the 3 months prior to any claim.

9. Governing Law

This agreement is governed by the laws of England and Wales.
